Teaching Methodologies

The following teaching methodologies are used in this curricular unit:
interpretation and analysis of the legal provisions and exposure of contents by the teacher and its discussion with the students; resolution of practical real case studies and court decisions by the students.

Learning Results

It is expected that by the end of the course each student is entitled to know the terms of the substantive legal protection (and its enforcement) of:
a) commercial transactions and traders;
b) the enterprise;
c) constitution and management of companies.

Program

1. Private Law and Commercial Law; general aspects of Contract Law.
2. Commercial transactions and traders in the Portuguese Commercial Code of 1988.
3. The commercial enterprise. Contracts on the commercial enterprise. Insolvency.
4. Company law.
5. Corporate personality and the lifting of the corporate veil.
6. The company’s constitution. Shareholders’ agreements.
7. The company’s officers and organs. Division of power between board and general meeting. Residual powers of general meeting. General meetings and resolutions.
8. The relationship between shareholders and company: rights and duties.
9 Capital, profits and creditor protection.
10. Commercial contracts.
